Terms and Conditions

1. Introduction

These Terms and Conditions govern your participation in our Affiliate Program. By registering as an Affiliate, you agree to comply with and be bound by these terms. Registration requires manual approval by our administrators. If you do not agree with any part of these terms, you must not participate in the program.

The program is operated by Simple Software di Torza Andrea, Uboldo (VA), Italy, VAT IT04102120120. Contact: affiliate@simplevirtualtour.com. Full billing details are provided where required for invoicing and lawful business purposes.

2. Registration and Account Types

Affiliates must provide accurate, complete, and up-to-date information during registration. The portal distinguishes between two types of accounts:

  • Company / Professional (B2B): Requires a valid Company Name and a verified European VAT Number (or equivalent domestic Tax ID).
  • Private Citizen (B2C): Requires a valid First Name, Last Name, and a domestic Tax Code / National Insurance Number.

You must maintain accurate banking details (IBAN, BIC/SWIFT, and Account Holder Name) that match the registered affiliate's identity to comply with anti-money laundering (AML) regulations.

3. Commission Payouts and Thresholds

Commissions are earned when referred users successfully complete qualifying purchases via your unique tracking links.

  • Currency: All commissions and payouts are calculated and processed exclusively in Euros (€).
  • Tracking Cookie Duration: Affiliate tracking cookies remain valid for 30 days from the user's click on a valid referral link. Commissions are attributed when the referred user completes a qualifying purchase within this attribution window.
  • VAT Exclusion: All commission calculations, payout thresholds, and payment amounts are calculated on the net sale value, excluding VAT or any equivalent sales tax. If a payment provider reports VAT-inclusive prices, the VAT amount is deducted before calculating the affiliate commission.
  • Minimum Threshold: You can only request a withdrawal once your pending balance reaches the minimum threshold of €100.00 for EU countries, or €200.00 for non-EU countries.
  • Payment Schedule: Payments are processed once a month via Bank Transfer, subject to the successful verification of your tax documents.
  • Refunds and Chargebacks: Commissions may be cancelled, reversed, or deducted if the related purchase is refunded, charged back, cancelled, fraudulent, unpaid, or otherwise invalid.
  • Attribution: Tracking is based on valid referral links, tracking tokens, cookies, and payment attribution records. In case of conflicting or incomplete data, our internal attribution logs are used to determine eligibility.

4. Mandatory Tax Documentation

It is the sole responsibility of the Affiliate to provide a valid and correct tax document to obtain the disbursement of funds. The platform will physically block any payout request until the required document is uploaded.

  • For B2B Affiliates: You must issue and upload a formal Invoice addressed to our company, prepared according to your own tax regime and the VAT rules applicable in your country of establishment. You are responsible for checking the correct invoice format, VAT rate, exemption, or legal wording with your accountant or tax advisor before requesting a payout.
  • For B2C Affiliates: You must upload a signed "Occasional Performance Receipt" (a pre-filled template is automatically generated by the portal once you reach your minimum threshold).

5. Occasional Performance Declaration (B2C Only)

If you register as a Private Citizen (B2C), you explicitly declare, under your own civil and criminal responsibility, that your promotional activity for this Affiliate Program is carried out completely occasionally, autonomously, and not continuously.

You acknowledge that this relationship does not constitute employment, a continuous collaboration (CoCoCo), agency, representation, or a professional partnership. You remain solely responsible for verifying whether your activity requires VAT registration, social security registration, withholding tax treatment, invoicing, or any other fiscal obligation in your country of residence.

If your promotional activity becomes habitual, organised, continuous, or professional, you must promptly update your account type and provide the tax documents required for a Company / Professional account before requesting further payouts.

6. Advertising Disclosure and Promotional Compliance

Affiliates must make every commercial communication clearly identifiable as advertising whenever promoting our products, services, referral links, coupons, tracking links, reviews, tutorials, social posts, videos, stories, newsletters, or paid placements.

  • Use clear and immediately visible wording such as Advertising, ADV, Sponsored by Simple Virtual Tour, or equivalent local-language wording required by applicable law and platform rules.
  • Place the disclosure where users can see it before interacting with the promotional content, link, or call to action.
  • Do not hide the disclosure behind collapsed captions, ambiguous hashtags, generic tags, or platform tools that are not clearly visible to the user.
  • Affiliates are responsible for complying with consumer protection, advertising, influencer marketing, email marketing, and platform rules in every country where they promote the program.

7. Prohibited Activities

Affiliates may not engage in any of the following activities:

  • Sending unsolicited email (SPAM) to promote referral links.
  • Using misleading, false, or deceptive advertising.
  • Bidding on our trademarked terms in Pay-Per-Click (PPC) advertising without prior written consent.
  • Attempting to artificially inflate clicks or commissions through bots, self-referrals, or fraud.
  • Purchasing our products or services through your own affiliate link, referral token, coupon, or tracking code, including by using a different email address, account, company name, payment method, or identity connected to you.
  • Using cookie stuffing, forced clicks, hidden iframes, typosquatting, fake accounts, unauthorized coupons, or traffic sources that violate law or platform rules.

Violation of these rules will result in immediate account termination and forfeiture of all pending commissions.

8. Suspension, Termination, and Changes

We may suspend or terminate an affiliate account, withhold payouts, or reject commissions where we reasonably suspect fraud, policy violations, invalid tax documentation, unlawful promotion, chargebacks, abuse, or inaccurate account data. Either party may end participation in the program at any time. Terms may be updated when required by legal, operational, or commercial changes; continued participation after notice means acceptance of the updated terms.

9. Privacy, Cookies, and Data Protection

Personal data are processed as described in the Privacy Policy. Referral links and attribution technologies are described in the Cookie Policy. Affiliates must not collect, upload, or send personal data of third parties unless they have a valid legal basis and all required notices and consents.

10. Governing Law and Jurisdiction

These Terms are governed by Italian law, without prejudice to mandatory consumer or data protection rules that may apply. Any dispute relating to the program shall be submitted to the competent courts under applicable Italian procedural law.
